Terms of Service

Effective date: June 16, 2026

These Terms of Service ("Terms") govern your access to and use of the Project Summary RAG application and related services (the "Service") provided by Wattworks AI ("Wattworks," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Project Summary RAG is a multi-tenant software service that allows organizations to upload documents, index them for search, and obtain AI-generated answers with citations scoped to individual projects and organization workspaces. Features may include document upload, chat, batch question sets, team management, and subscription billing.

2. Accounts and access

Access to the Service requires an account authenticated through our identity provider, Clerk. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at legal@wattworks-ai.com if you suspect unauthorized access. Organization administrators may manage membership, roles, and permissions for their workspace.

3. Subscriptions and billing

Paid features are offered on a subscription basis processed through Stripe. Pricing, trial periods, and plan limits are presented at checkout or within the Service. By starting a subscription, you authorize recurring charges according to your selected plan until you cancel. Fees are non-refundable except where required by law or explicitly stated otherwise. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation
  • Upload content you do not have the right to use or distribute
  • Attempt to access another organization's data or bypass tenant isolation
  • Interfere with or disrupt the Service, including through automated abuse or excessive load
  • Reverse engineer, decompile, or attempt to extract source code except as permitted by law
  • Use the Service to develop competing products through systematic scraping or extraction
  • Transmit malware, spam, or harmful code

We may suspend or terminate access that violates these Terms or poses a security risk.

5. Your content

You and your organization retain ownership of documents, prompts, question sets, and other materials you submit ("Customer Content"). You grant Wattworks a limited license to host, store, process, transmit, and display Customer Content solely to provide and improve the Service for your organization. You are responsible for ensuring Customer Content complies with applicable laws and that you have obtained necessary rights and consents, including for confidential or regulated information.

6. AI-generated output

The Service uses artificial intelligence and search technologies to generate responses and citations. AI output may be incomplete, inaccurate, or outdated. You are solely responsible for reviewing outputs before relying on them for business, legal, compliance, or procurement decisions. The Service does not provide legal, financial, or professional advice.

7. Intellectual property

Wattworks and its licensors own the Service, including software, branding, documentation, and underlying technology, subject to the limited rights expressly granted in these Terms. No rights are granted except as stated herein.

8. Third-party services

The Service integrates with third-party providers such as Clerk, Stripe, and Cloudflare. Your use of those services may be subject to their separate terms and privacy policies. Wattworks is not responsible for third-party services outside our reasonable control.

9. Confidentiality and security

We design the Service with organization-scoped isolation for storage and search. You are responsible for configuring access within your organization and for classifying sensitive information before upload.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATTWORKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU OR YOUR ORGANIZATION TO WATTWORKS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF NO SUCH PAYMENTS WERE MADE.

12. Indemnification

You will defend, indemnify, and hold harmless Wattworks from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or other users. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

14. Changes to the Terms

We may modify these Terms from time to time. We will post updated Terms on this page and update the effective date. Material changes may be communicated through the Service or by email. Continued use after changes become effective constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Except where prohibited, the exclusive venue for disputes relating to these Terms or the Service will be the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

16. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wattworks regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
